Terms and Conditions for Hire of Stone Cleaning Equipment

First Line London Ltd, trading as Stone Rescue (“Stone Rescue”, “We”, “Us” or “Our”) provides stone cleaning equipment rental services. These terms and conditions (“Terms and Conditions”) govern the hire of stone cleaning equipment (“Equipment”) from Stone Rescue to you, the customer (“You” or “Customer”). By renting Equipment from Stone Rescue, you agree to be bound by these Terms and Conditions.

  1. Rental Period

1.1 The rental period shall commence on the date specified in the rental agreement (“Commencement Date”) and continue for the duration specified in the rental agreement (“Rental Period”), unless terminated earlier in accordance with these Terms and Conditions.

1.2 Any extension of the Rental Period must be agreed to by both parties in writing and may be subject to additional charges.

  1. Equipment Hire Charges

2.1 You agree to pay the hire charges specified in the rental agreement for the Equipment (“Hire Charges”).

2.2 Hire Charges shall be payable in advance, unless otherwise agreed in writing by Stone Rescue.

2.3 If the Equipment is not returned by the end of the Rental Period, you will be charged for each additional day or part thereof at the daily rate specified in the rental agreement.

  1. Security Deposit

3.1 A security deposit as specified in the rental agreement (“Security Deposit”) may be required at the time of hire. This deposit will be refunded to you upon the return of the Equipment in good working order, subject to any deductions for damages or additional charges in accordance with these Terms and Conditions.

  1. Equipment Use and Maintenance

4.1 You agree to use the Equipment only for its intended purpose and in accordance with the manufacturer’s instructions and guidelines.

4.2 You are responsible for the proper care, maintenance, and storage of the Equipment during the Rental Period. This includes ensuring that the Equipment is kept clean and free from debris, and that it is stored in a secure and dry location when not in use.

4.3 You must immediately notify Stone Rescue of any damage, malfunction, or other issues with the Equipment.

  1. Return of Equipment

5.1 You must return the Equipment to Stone Rescue in the same condition as when it was rented, with ordinary wear and tear excepted, by the end of the Rental Period.

5.2 If the Equipment is damaged or lost during the Rental Period, you will be responsible for the cost of repair or replacement.

  1. Liability

6.1 To the extent permitted by law, Stone Rescue shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of the Equipment, including but not limited to damages for loss of profits, business interruption, or loss of data.

6.2 You shall indemnify and hold Stone Rescue harmless from and against any and all claims, demands, losses, damages, costs, and expenses arising from or related to your use of the Equipment or your breach of these Terms and Conditions.

  1. Termination

7.1 Stone Rescue may terminate the rental agreement and these Terms and Conditions immediately if you are in breach of any provision herein or if the Equipment is damaged, lost, or destroyed.

7.2 Upon termination, you must immediately return the Equipment to Stone Rescue and pay any outstanding Hire Charges, repair or replacement costs, or other amounts due under these Terms and Conditions.

  1. Miscellaneous

8.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

8.2 No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of such provision or any other provision, and Stone Rescue’s failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

8.3 If any provision of these Terms and Conditions is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent possible, and the remaining provisions of these Terms and Conditions shall continue in full force and effect.

8.4 These Terms and Conditions, together with the rental agreement, constitute the entire agreement between you and Stone Rescue with respect to the hire of the Equipment and supersede all prior or contemporaneous understandings, agreements, or representations, whether written or oral, relating to the subject matter herein.

8.5 You may not assign or transfer your rights or obligations under these Terms and Conditions without the prior written consent of Stone Rescue.

8.6 Any notice required or permitted to be given under these Terms and Conditions shall be in writing and shall be deemed to have been duly given when delivered in person, sent by registered mail, or sent by email to the addresses specified in the rental agreement or such other address as either party may designate in writing from time to time.

8.7 Nothing in these Terms and Conditions shall create or be deemed to create a partnership, joint venture, or agency relationship between the parties.

8.8 These Terms and Conditions may be amended or modified by Stone Rescue from time to time. Any such amendment or modification shall be effective upon written notice to you. Your continued use of the Equipment following such notice shall constitute your acceptance of the amended or modified Terms and Conditions.

8.9 In the event of any inconsistency or conflict between these Terms and Conditions and the rental agreement, the provisions of these Terms and Conditions shall prevail to the extent of the inconsistency or conflict.

8.10 You acknowledge and agree that any Equipment rented from Stone Rescue is intended solely for your use and may not be subleased, rented, or otherwise provided to any third party without the prior written consent of Stone Rescue.

8.11 Both parties agree to comply with all applicable laws, rules, and regulations in connection with the hire and use of the Equipment, including but not limited to health and safety regulations and environmental protection legislation.

8.12 You shall be responsible for obtaining any permits, licenses, or authorizations required for the use of the Equipment in your jurisdiction.

8.13 Any delay or failure by Stone Rescue to exercise any right or remedy provided under these Terms and Conditions or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

8.14 In the event that any provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such determination shall not affect the validity and enforceability of any other remaining provisions.

8.15 Force Majeure: Neither party shall be liable for any failure or delay in performing its obligations under these Terms and Conditions if such failure or delay is due to any cause beyond the reasonable control of that party, including but not limited to acts of God, war, terrorism, civil unrest, strikes, lockouts or other industrial disputes, failure of utility services, or breakdown of communication or transportation systems. In such circumstances, the affected party shall be entitled to a reasonable extension of time for the performance of its obligations.

8.16 Third Party Rights: Except as expressly provided in these Terms and Conditions, a person who is not a party to these Terms and Conditions has no rights under the Contracts (Rights of Third Parties) Act 1999 or otherwise to enforce any term of these Terms and Conditions.

8.17 Severability: If any provision of these Terms and Conditions is held to be invalid or unenforceable by any competent authority or court, such invalidity or unenforceability shall not affect the enforceability of the remaining provisions, which shall remain in full force and effect. If any provision of these Terms and Conditions is so found to be invalid or unenforceable but would be valid or enforceable if some part of the provision were deleted, the provision in question shall apply with the minimum modifications necessary to make it valid and enforceable.

8.18 Counterparts: The rental agreement and any amendments thereto may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

8.19 Dispute Resolution: In the event of a dispute arising out of or in connection with these Terms and Conditions, including any question regarding their existence, validity, or termination, the parties shall first attempt to resolve the dispute amicably through good faith negotiations. If the dispute cannot be resolved amicably within thirty (30) days of the dispute being raised by either party, either party may refer the dispute to arbitration in accordance with the Arbitration Act 1996 or any statutory modification or re-enactment thereof for the time being in force. The seat of arbitration shall be in London, England, and the arbitration shall be conducted in the English language. The decision of the arbitrator(s) shall be final and binding on the parties.

By renting Equipment from First Line London Ltd t.a. Stone Rescue, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, including any amendments or modifications made thereto from time to time.
